1. Formation and Binding Agreement

These Terms of Service ("Terms") constitute a legally binding contractual agreement executed by and between Bold Base media ("services provider," "we," "our," or "us") and the individual or corporate entity accessing our digital platform or purchasing creative production services ("Client," "you," or "your"). These Terms govern your access to and use of the website located at https://boldbase.media and any associated creative deliverables, assets, workflow queues, or service subscriptions provided by the Company.

By initializing a service plan, processing a payment, or submitting a design brief, you formally affirm that you have read, understood, and agreed to be bound by the entirety of these Terms. If you do not accept these Terms in full, you are expressly prohibited from utilizing our website and services, and you must cease all operational interactions immediately.

2. Creative Subscription Framework and Delivery Mechanics

Bold Base media operates as a premium creative production and design subscription provider. Services available within our subscription lines include, but are not limited to: Graphic Design, Social Media Design, Brand Identity Architecture, Motion Graphics, Video Editing, UI/UX Web Design, and Creative Production Consultation.

  • Queue-Based Execution: Creative requests are compiled and executed strictly on a sequential, first-come, first-served basis according to the chronological order established by the Client within their designated management interface, subject to the active concurrency thresholds of the purchased tier.

  • Production Volume and Turnaround Metrics: Stated production windows (e.g., 24-hour business day turnarounds for standard graphic layouts) serve as informed commercial estimates reflective of baseline operational conditions. They do not constitute absolute legal deadlines or strict guarantees. Multi-layered structural projects, long-form cinematic edits, and complex motion tracking naturally dictate extended production timelines.

  • Scope Realignment on Revisions: Unlimited modifications apply strictly to live, unapproved design concepts that conform to the parameters of the original brief. Requests that introduce complete brand pivots, fundamentally altered textual copy, or entirely new conceptual parameters will be classified as separate asset requests, requiring a distinct position in the Client's production queue.

3. Financial Terms, Manual Renewals, and Tax Allocations

Prepaid Subscription Model: Access to the Company’s design infrastructure is predicated on a strictly prepaid, flat-fee subscription structure. No production lines will be initialized, nor will creative assets be assigned, prior to the receipt of verified funds matching the chosen service tier.

  • Explicit Non-Renewing Structure: Subscriptions hosted by Bold Base media do not automatically renew. To maintain uninterrupted access to active design teams, production queues, and communication interfaces, the Client must manually initiate and authorize a new subscription purchase prior to the expiration of the current 30-day billing cycle.

  • Expiration and Operational Suspensions: Upon the expiration of a paid subscription cycle without an authorized manual renewal, the Client's production queue and active lines will be automatically paused. The Company shall not be liable for any project delays or operational interruptions resulting from a Client’s failure to manually fund subsequent cycles.

  • Tax Compliance and Indemnity: All fees published by Bold Base media are completely exclusive of regional, state, federal, or international sales taxes, duties, use taxes, or Value-Added Taxes (VAT). Bold Base media does not calculate, assess, collect, or remit taxes on behalf of the Client. The Client assumes sole, uncompromised responsibility for calculating and reporting all tax liabilities arising from transactions with the Company to their respective local tax authorities.

4. Proprietary Rights and Intellectual Property Allocation

Assignment of Final Deliverables: Conditioned upon the uncompromised receipt of full payment for the corresponding subscription cycle, Bold Base media hereby assigns, transfers, and conveys to the Client all worldwide rights, titles, and intellectual property interests in the final, approved, and exported creative deliverables.

  • Reservation of Studio Property: Bold Base media explicitly retains all ownership rights, legal titles, and proprietary claims over unselected design concepts, initial rough cuts, explanatory drafts, underlying production workflows, proprietary script parameters, code snippets, and internal native source files—including but not limited to raw .PRPROJ, .BLEND, .AE, .PSD, or .FIGMA project files utilized during production.

  • Promotional Display License: The Client grants Bold Base media a non-exclusive, perpetual, worldwide, royalty-free license to display completed production assets across our official web domain, digital portfolios, and corporate marketing channels solely for the purpose of showcasing past work. The Client may revoke this license at any time by executing a formal, mutually signed Non-Disclosure Agreement (NDA) with the Company.

5. Definitized Post-Project Data Purge Schedule

In strict accordance with corporate data protection policies and data minimization practices, Bold Base media maintains a precise, non-negotiable retention window.

All client-supplied raw assets, project files, completed deliverables, historical project briefs, and localized interface communications will be retained on our active systems for exactly thirty (30) days following the formal completion or non-renewal of a production cycle.

Upon the exact expiration of this 30-day window, the Company permanently, securely, and completely deletes all associated media from its servers. The Client assumes exclusive responsibility for downloading, reviewing, and permanently archiving all final source files and exports within this designated 30-day timeframe. The Company disclaims all liability for asset loss resulting from post-retention deletions.

6. Client Conduct and Warranties

The Client represents, warrants, and agrees that it will not submit design briefs, source materials, or asset requests that:

  • Infringe upon, misappropriate, or violate third-party intellectual property, copyrights, trademarks, or publicity protections.

  • Incorporate defamatory, libelous, fraudulent, explicitly deceptive, or illegal content.

  • Promote hate speech, systemic discrimination, severe violence, or sexually explicit materials.

The Client assumes full legal defense and shall indemnify Bold Base media against any third-party claims, litigation, or regulatory damages arising from a breach of these asset warranties. The Company retains absolute discretion to refuse any request deemed in violation of these standards without liability.

7. Disclaimers and Limitations of Liability

As-Is Provision: The website and services are delivered on an "as-is" and "as-available" operational basis. To the maximum extent permitted by law, Bold Base Media disclaims all warranties, express, statutory, or implied, including the implied warranties of merchantability, fitness for a precise objective, and non-infringement.

  • Exclusion of Consequential Losses: In no event shall Bold Base media, its officers, employees, or contractors be liable to the Client or any third party for any indirect, consequential, incidental, special, exemplary, or punitive damages—including lost commercial profits, lost revenues, loss of data, or structural business interruptions—arising from the use of, or inability to use, our creative services.

  • Absolute Liability Cap: Notwithstanding any clause to the contrary within these Terms, the total cumulative liability of Bold Base media to the Client for any legal cause of action whatsoever, and regardless of the formal nature of the litigation, shall at all times be restricted and capped at the total amount paid by the Client to the Company during the single one (1) month subscription period immediately preceding the event that catalyzed the claim.

8. Governing Law and Exclusive Venue

These Terms, along with any external disputes or legal actions arising from your relationship with Bold Base media, shall be governed by, interpreted, and construed exclusively under the laws of the United States of America, without regard to principles governing conflicts of law.

Both parties explicitly agree that any formal legal actions, contract disputes, arbitrations, or judicial proceedings shall be filed and litigated exclusively within the federal or state courts located inside the United States of America. Both parties hereby waive any objections to improper venue or the exercise of personal jurisdiction within these courts.

9. Structural Amendments

Bold Base Media reserves the right to modify, amend, or restructure these Terms of Service at any time to accommodate changing market conditions, operational structures, or legislative developments. Modifications take effect immediately upon their publication to this page, as denoted by the "Last Updated" timestamp. Continued engagement with our platform or manual renewal of services following a policy change constitutes automatic, binding acceptance of the updated Terms.
